Overview

About this handbook

The law governing hypothecs occupies a central position in Cambodia’s legal and financial system. As Cambodia continues to strengthen its rule of law, expand domestic commerce, and attract foreign investment, the need for a modern, reliable, and transparent framework for secured lending has become increasingly important. At the heart of that framework lies the hypothec — a legal institution that provides creditors with security over immovable property while preserving the debtor’s ownership and possession.

Volume III — Transactions & Enforcement — takes the law into practice across Chapters 13 to 34: structuring and documenting secured lending, due diligence and registration, risk and priority, enforcement and judicial sale, negotiation, mediation and arbitration, and the professional responsibilities of mortgage lawyers.

The law of secured transactions serves a broader public purpose than simply protecting lenders. It promotes commercial certainty, facilitates access to credit, encourages investment, supports economic development, and strengthens confidence in Cambodia’s legal institutions.
